RootX provides an AI-powered IoT solution for precision agriculture, designed to help farmers and agricultural businesses monitor, control, and optimize their operations. Our Services include, but are not limited to:
- IoT Products: Sensors, gateways, and smart switches for environmental monitoring and automated control.
- Software Platform: Web and mobile applications for data visualization, analytics, and system management.
- AI & Machine Learning: Algorithms for predictive insights, crop health analysis, and yield forecasting.
- Data Services: Collection, processing, storage, and analysis of agricultural and operational data.
- Support & Maintenance: Technical assistance, software updates, and hardware support.
3. User Accounts
Account Creation

5. Intellectual Property Rights
RootX Intellectual Property
All intellectual property rights in and to the Services, including but not limited to software, hardware designs, algorithms, trademarks, logos, content, and documentation, are owned by RootX or its licensors. These Terms do not grant you any rights to use RootX's intellectual property beyond what is necessary to use the Services as permitted by these Terms.
User Content
You may be able to submit, upload, or post content to the Services ("User Content"). You retain all rights in and to your User Content. By submitting User Content, you grant RootX a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. ROOTX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROOTX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
Agricultural Risks
You acknowledge that agricultural operations involve inherent risks, and RootX Services are tools to assist, not replace, sound agricultural practices and professional judgment. We are not responsible for any losses, damages, or adverse outcomes related to your agricultural operations.
9. Indemnification
You agree to indemnify, defend, and hold harmless RootX, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your access to or use of the Services, your violation of these Terms, your violation of any rights of a third party, or your User Content.
10. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration in accordance with the rules of the New Zealand Dispute Resolution Centre.
11. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by RootX on the Services, constitute the entire agreement between you and RootX concerning the Services.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
